Terms of Use
These terms cover using this website and the client portal. They do not set the commercial terms of any engagement: those are in the quote or agreement you signed, and that document wins wherever the two could be read differently.

The short version
- Your agreement governs the work. Nothing here changes what you signed with us.
- Prices on this site are indicative. They are an invitation to talk, not a binding offer.
- The portal is for clients. Keep your credentials to yourself and tell us if they are compromised.
- Approving something in the portal is an acknowledgement, recorded with your name and the time. It is not an electronic signature.
What this covers
These terms apply to cortexx.com and to the Cortexx client portal (together, "the sites"). They are between you and Cortexx Software Inc., operating as Cortexx Software, of Markham, Ontario, Canada.
They deliberately do not cover the services we perform for clients. Fees, scope, term, cancellation, service commitments, confidentiality, and ownership of anything we build for you are set by the quote, statement of work, or agreement signed between us. If anything on this page appears to conflict with that signed document, the signed document applies. Using the sites does not create, vary, or extend any of it.
Information on this site
We keep this site accurate and current, and we mark what is not yet available as "coming soon" rather than implying it ships today. Even so, product descriptions, module availability, timelines, and figures shown in demonstrations are for information. Sample data and interactive demonstrations use illustrative numbers, not real client data.
Prices published here are list prices and an invitation to discuss, not an offer capable of acceptance. Your actual pricing is confirmed in a written quote, which states its own validity period, currency, and what it includes. Nothing on this page limits or qualifies the pricing commitments the site itself makes; where those commitments are stated, they mean what they say.
Using the sites
You may read, use, and share this site's public pages freely. Please do not:
- attempt to gain access to any account, system, or data that is not yours;
- probe, scan, or test the security of the sites, or interfere with their operation;
- scrape or bulk-collect content, or use automated means that place an unreasonable load on the sites;
- use the sites to send unlawful, misleading, or infringing material;
- misrepresent your identity or your authority to act for an organization.
If you believe you have found a security vulnerability, please tell us at support@cortexx.com rather than demonstrating it. We will take the report seriously and will not pursue anyone who reports in good faith and does not access or alter data that is not theirs.
The client portal
Portal access is issued to named people at organizations we work with. You are responsible for keeping your credentials confidential and for activity under your account. Tell us immediately at support@cortexx.com if you think your account has been compromised, and we will disable it.
Some views, such as invoices, are limited to the contacts your organization has nominated for finance. We may suspend access where we reasonably believe an account is compromised or being misused, or where an engagement has ended.
Approvals in the portal are acknowledgements, not signatures. When you approve a milestone or document, we record your name and the date and time as evidence that you acknowledged it. That record is not an electronic signature and does not, by itself, create a contract or vary one. Where a signature is genuinely required, we will ask for one separately.
Our material
The content of this site, the Cortexx and Nexus names and logos, the platform diagrams, and the documents we publish for download are owned by Cortexx Software Inc. or used with permission, and are protected by copyright and trade-mark law.
The one-pagers and sell sheets in our downloads area are free to download, read, and share whole and unaltered with colleagues or advisers while evaluating us. Please do not republish them, edit them, or present them as your own. Our names and logos may not be used to suggest a partnership, endorsement, or certification that does not exist. Partners and resellers may use our marks as their partner agreement permits.
Your material
When you send us a message, an enquiry, or a file through the sites, you keep ownership of it. You give us permission to use it for the purpose you sent it: to answer you, prepare what you asked for, and deliver the services you have engaged us for. Please do not send us confidential material through a web form; email or the portal is the better route, and a signed agreement is the right home for anything genuinely sensitive.
If you send us a suggestion about our products, we may use it without obligation. That is not a licence to your systems, your data, or anything we build for you under a signed agreement, all of which are dealt with there.
Links and third-party tools
This site links to a small number of external resources, including our remote-support tool. Those services are run by other companies under their own terms and privacy practices, and we are not responsible for them. Nothing loads from a third party until you choose to follow such a link.
Availability
We aim to keep the sites available and working, and we do not promise that they will be uninterrupted or error-free. We may change, suspend, or withdraw parts of the sites, including this one. Where an availability commitment applies to a service you pay for, it is in your agreement, not here.
Liability
The sites are provided as they are. To the extent the law allows, we exclude implied warranties in respect of the sites themselves, and we are not liable for indirect or consequential loss, or for loss of profit, revenue, or data, arising from your use of them.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. These limits apply to the sites. Our liability for the services we perform is governed by your agreement with us and is not affected by this page.
Privacy
Our Privacy Policy explains what we collect and why. In short: this site sets no cookies, runs no analytics, and keeps no web access logs.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, and we both submit to them. If you use the sites from somewhere else, you are responsible for complying with local law.
Changes
We may update these terms; the date above changes when we do. Because these terms cover the sites rather than the services, a change here does not alter any agreement already signed with you, and never alters a commitment we have published about pricing or delivery.
